MASTER SUBSCRIPTION AGREEMENT This Agreement is entered into as of [Date] between Provider Corp ("Provider") and Customer ("Customer"). 1. SUBSCRIPTION. Provider grants Customer a non-exclusive, non-transferable right to access the Service during the Subscription Term. Provider reserves the right to modify the Service at any time without notice. 2. FEES. Customer shall pay all fees as set forth in the Order Form. Fees are non-refundable. Provider may increase fees upon 30 days written notice. 3. DATA. Customer grants Provider a worldwide, perpetual, irrevocable license to use, modify, and create derivative works from Customer Data for any purpose including improving Provider's products and services. 4. LIMITATION OF LIABILITY. IN NO EVENT SHALL PROVIDER'S TOTAL LIABILITY EXCEED THE FEES PAID IN THE PRIOR 3 MONTHS. 5. TERMINATION. Provider may terminate this Agreement immediately for any reason. Customer may terminate with 90 days written notice, subject to payment of all remaining fees in the Term.
